negativer Geschäfts- oder Firmenwert; entsteht im Rahmen der ⇡ Kapitalkonsolidierung, wenn bei einem ⇡ Unternehmenszusammenschluss der Kaufpreis für die Beteiligung unter dem Wert des anteiligen ⇡ Eigenkapitals liegt. Ein B. ist entweder mit negativen künftigen Ertragsaussichten zu erklären oder als „Lucky Buy“, also günstiger Kauf, zu interpretieren. Gemäß § 301 III HGB ist er auf der Passivseite als „Unterschiedsbetrag aus der Kapitalkonsolidierung“ auszuweisen. Er darf nach § 309 II HGB nur in zwei Fällen ergebniswirksam aufgelöst werden, nämlich wenn (1) die beim Kauf erwartete ungünstige Ertragsentwicklung eingetreten ist oder (2) am Abschlussstichtag feststeht, dass er einem realisierten Gewinn entspricht.
